Opinion: Only AMC Should Be Allowed to Dilute AMC Shareholders

By Adam Ahron, CEO of AMC Entertainment

I have been disturbed to learn that Robinhood is offering tokenized exposure to AMC without our authorization.

Let me be clear: I am not opposed to creating enormous quantities of additional AMC-related securities.

I am opposed to amateurs doing it.

At AMC, dilution is not merely a financing activity. It is a core competency.

Over the past several years, we have developed what I believe is an industry-leading dilution stewardship platform combining capital structure innovation, ownership democratization and disciplined shareholder-base expansion.

This work requires experienced executives, securities lawyers, investment bankers and, ideally, several hundred pages of SEC filings. You cannot simply wake up one morning, manufacture additional AMC exposure and expect to replicate a shareholder-value reduction process management has spent years perfecting.

Since 2023, AMC has issued hundreds of millions of shares through at-the-market offerings, debt exchanges and other carefully engineered transactions. Every share entered the market through a thoughtful, professionally managed process designed to ensure existing shareholders owned progressively less of AMC in the most institutionally responsible manner possible.

Robinhood threatens that ecosystem.

If anybody can manufacture AMC exposure, what happens to corporate governance? What happens to capital allocation discipline? Most importantly, what happens to our ability to identify moments of exceptional shareholder enthusiasm and immediately convert that enthusiasm into additional shares?

AMC shareholders did not invest in this company merely to own AMC.

They invested in a relationship.

And central to that relationship is the understanding that if their ownership percentage is going to be unnecessarily diluted, AMC will be the one unnecessarily diluting it.

We consider that trust sacred.
